Compliance Management System (CMS)

Compliance refers to adherence to laws, regulatory requirements, and guidelines—in short, adherence to rules or compliance with regulations. An integral part of our corporate governance is our CMS, which defines transparent and legally compliant guidelines for heroal. It includes, among other things, our Code of Conduct with its corresponding guidelines, our compliance organization, and our compliance training program, which is based on our corporate values and standards.

Compliance Culture

Our compliance culture is shaped by the core values and behaviors of heroal’s management, our leaders, and our employees. It influences our daily actions and aims to ensure a consistent understanding of our policies throughout the company.

This philosophy is embodied in the heroal Code of Conduct, which is a central component of the CMS. It sets out binding minimum standards for our interactions with our employees, business partners, society, and the environment, with the aim of ensuring responsible and ethical behavior, integrity, honesty, and trust.

Code of Conduct

Compliance Organization

Management bears overall responsibility and is in charge of implementing and developing the CMS. The Compliance Committee advises management on organizational measures, coordinates internal investigations, and determines necessary actions. The Compliance Officer serves as the point of contact for general compliance questions, is a member of the committee, and supports the Executive Board in clarifying legal and organizational matters. He conducts and coordinates compliance training and oversees corrective actions following identified violations.

Compliance Communication

Compliance training sessions and informational events provide the necessary knowledge on compliance topics and projects, as well as the content of the Code of Conduct, and are designed to support employees with appropriate guidance on how to act in critical situations. In both in-person and online training sessions, our employees are trained according to their specific roles and responsibilities.

Compliance Monitoring and Improvement Through the Whistleblower System

Another key unit of our CMS is the heroal Whistleblower System, a confidential communication channel. The heroal Whistleblower System allows you to report potential serious misconduct and violations of laws or internal guidelines. heroal Compliance investigates all reports and handles them confidentially and in compliance with data protection regulations. The whistleblower remains completely anonymous and protected. All requirements of the new EU Whistleblower Protection Directive, including the confidentiality obligation for whistleblowers and those affected, are implemented via the heroal whistleblower system in compliance with the GDPR.

Reports can be submitted at any time, completely anonymously if desired, through our secure reporting system, and will be handled with the utmost confidentiality and in compliance with data protection regulations.
